1. Acceptance & Engagement Framework
These Terms of Service ("Agreement", "Terms") constitute a legally binding agreement between RealWebArts ("Agency", "we", "us", or "our"), headquartered at Krishna Nagar Rd, Civil Lines, Ludhiana, Punjab 141001, India, and the individual, business entity, or organization ("Client", "you", or "your") purchasing web design, development, technical SEO, or AI engineering services.
By executing a written Statement of Work (SOW), paying an initial project deposit, approving a digital estimate, or utilizing our deliverables, you expressly acknowledge and agree to be bound by these Terms.
Each specific project is governed by an associated Statement of Work or Scope Specification, which details technical deliverables, timelines, milestone schedules, and compensation terms. In the event of any conflict between an approved SOW and these general Terms, the specific terms of the approved SOW shall prevail.
2. Scope of Web Design, Development & AI Services
RealWebArts provides high-end professional digital services including custom UI/UX design, modern front-end engineering, full-stack application development, WordPress CMS architectures, technical Search Engine Optimization (SEO), Core Web Vitals optimization, and practical AI integrations.
Included Services
All services explicitly itemized in your Statement of Work, including responsive layouts, cross-browser compatibility testing, on-page technical SEO markup, performance tuning, and CMS configuration.
- Bespoke visual interface design and interactive wireframing (Figma).
- Semantic, accessible, and fast web codebases (React, TypeScript, Tailwind CSS, Next.js, Node.js).
- Database design, authentication flows, and secure REST/GraphQL API connections.
- AI automation workflows, LLM API integrations (e.g., Google Gemini, OpenAI, Anthropic), and custom intelligent assistants.
- Production server deployment, domain DNS routing, and SSL certificate installation.
Explicit Out-of-Scope Items
Unless specifically contracted as a separate billable line-item in the SOW, the following items are excluded from standard project scope and remain the Client’s responsibility:
- Third-party software licenses, commercial font licenses, and stock photography fees.
- Third-party API consumption charges (e.g., Gemini API tokens, OpenAI tokens, Google Maps Platform credits, Stripe transaction fees).
- Ongoing monthly web hosting server expenses and domain name registrar renewal fees.
- Original brand copywriting, legal document generation, and professional photography/video production.
3. Milestone Architecture & Phased Sign-Off Protocol
To ensure full transparency, precision, and predictability, all RealWebArts engagements operate under our structured 4-Phase Delivery Framework:
Phase 1: Architecture & Technical Discovery
We define technical specifications, wireframe schematics, user journeys, data schemas, and API integration maps.
Phase 2: UI/UX Design & Interactive Prototype
We build the high-fidelity responsive design system and interactive mockups. The Client reviews and formally approves the visual direction.
Phase 3: Development & Staging Environment
Our engineering team writes clean, production-ready code, connects backends and CMS controls, and provides a password-protected staging URL for client testing.
Phase 4: Audit, QA & Production Deployment
We perform rigorous cross-device audits, Core Web Vitals performance benchmarks (aiming for 90+), security hardening, and final production server deployment.
4. Intellectual Property, Source Code & Asset Ownership
RealWebArts is philosophically opposed to proprietary traps and vendor lock-in. We believe you should own what you pay for.
Full Client Ownership Upon Final Payment
Upon receipt of 100% of the agreed project fees for a completed engagement, RealWebArts automatically transfers full, exclusive, worldwide intellectual property rights, copyright, and title to the Client for all bespoke designs, custom source code, CSS styles, graphic layouts, database schemas, and tailored software written expressly for your project.
Open-Source & Reusable Frameworks
Deliverables may incorporate open-source libraries (such as React, Tailwind CSS, Lucide icons, Vite, Node.js packages) licensed under standard permissive licenses (MIT, Apache 2.0, BSD). These components remain subject to their respective open-source licenses.
Generic utility functions, boilerplates, and build tools created by Agency prior to or outside the scope of the project remain Agency property, but the Client is granted an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and distribute them as part of the delivered website.
Repository & Handover Deliverables
At project completion, we hand over full administrative ownership of Git repositories (GitHub/GitLab/Bitbucket), environment configuration documentation (.env templates), deployment guides, and CMS super-administrator accounts.
5. Commercial Terms, Invoicing & Milestone Payments
Our pricing is transparent, fixed-scope, and free from hidden ongoing royalties.
Standard Payment Milestones
Unless otherwise stipulated in the SOW, standard project investments are structured into three milestones:
- 40% Kickoff Deposit: Due prior to project initiation, reserving agency engineering capacity and commencing Phase 1 discovery.
- 30% Milestone Approval: Due upon Client approval of Phase 2 UI/UX design mockups and staging build delivery.
- 30% Final Settlement: Due upon completion of user acceptance testing (UAT) and prior to live production DNS cutover and repository handover.
Payment Methods & Currency
Invoices are issued digitally with clear itemized descriptions. Accepted payment methods include Domestic Bank Wire (NEFT/RTGS/IMPS), International SWIFT Wire Transfer, Stripe, and authorized international credit/debit card processing gateways. Invoices are payable within seven (7) calendar days of receipt.
Project Suspension & Inactivity
If a project is halted or delayed by more than thirty (30) consecutive calendar days due to a lack of required client assets, approvals, or responsive feedback, Agency reserves the right to bill for completed work and re-schedule remaining engineering hours subject to team availability.
6. 30-Day Launch Warranty & Performance Benchmark Guarantees
We stand firmly behind the quality, reliability, and speed of our engineering deliverables.
Complimentary 30-Day Technical Warranty
Beginning the day your website is launched to production or handed over, RealWebArts provides a thirty (30) calendar day warranty period. During this period, our team will promptly diagnose and fix any reproducible software bugs, broken links, responsiveness anomalies, or cross-browser display discrepancies at zero additional charge.
Core Web Vitals & Speed Target
We engineer custom front-end builds to achieve 90+ scores on Google PageSpeed Insights under standard production conditions. However, third-party tracking scripts, unoptimized client-uploaded high-res images, or slow third-party embed widgets introduced after handover can degrade scores and are not covered under the initial guarantee without active ongoing optimization retainers.
Warranty Exclusions
The warranty is voided if the source code, hosting environment, database, or CMS installation is modified by the Client, third-party developers, or unvetted external plugins after production handover.
7. AI Integrations, Data Privacy & API Safeguards
RealWebArts adheres to responsible, enterprise-grade AI deployment standards across all intelligent chatbot, workflow automation, and predictive algorithm implementations.
Sandboxed Client Data & Zero Public Training
Any client knowledge bases, proprietary documents, customer interaction transcripts, or business datasets ingested for custom AI solutions are strictly isolated. We do NOT use your proprietary data to train public foundation models or make it accessible to external entities.
Third-Party LLM Provider Terms
AI capabilities utilize frontier foundation model APIs (e.g., Google Gemini, OpenAI, Anthropic). Client acknowledges that these systems operate under the respective provider’s terms of service, uptime SLAs, and acceptable use policies. RealWebArts is not liable for provider API downtime, token pricing revisions, or natural model hallucinations, though we implement robust guardrails and validation layers.
8. Confidentiality & Non-Disclosure
Both parties agree to hold in strict confidence all proprietary information, trade secrets, customer data, marketing strategies, and source code disclosed during the course of the engagement.
Neither party will disclose Confidential Information to any third party without prior written consent, except to employees, subcontractors, or legal advisors who need to know such information for the performance of the engagement and who are bound by confidentiality obligations at least as restrictive as those herein.
9. Limitation of Liability & Indemnification
To the maximum extent permitted by applicable law, RealWebArts, its founders, officers, and contractors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, business opportunities, or goodwill arising from the use of or inability to use the deliverables.
In no event shall the total aggregate liability of RealWebArts arising out of or related to this Agreement, whether in contract, tort (including negligence), or otherwise, exceed the total fees actually paid by the Client to RealWebArts under the applicable Statement of Work in the three (3) months preceding the event giving rise to liability.
The Client agrees to defend, indemnify, and hold harmless RealWebArts from any claims, damages, liabilities, and expenses (including reasonable legal fees) resulting from client-provided materials (text, images, logos, trademarks) that infringe any third-party intellectual property or copyright.
10. Termination & Cancellation Protocols
Either party may terminate an ongoing engagement upon fourteen (14) calendar days written notice if the other party breaches any material term of this Agreement and fails to cure such breach within the notice period.
Upon termination, Client shall pay RealWebArts for all services performed, milestones completed, and non-cancelable expenses incurred up to the date of termination. RealWebArts will deliver all completed and in-progress work items paid for by the Client.
11. Governing Law, Jurisdiction & Dispute Resolution
This Agreement, and any disputes arising out of or in connection with it, shall be governed by and construed in accordance with the substantive laws of the State of Punjab, India, without regard to its conflict of law principles.
In the event of any controversy or dispute, the parties agree to engage in informal, good-faith negotiations for a minimum of thirty (30) calendar days. If the dispute cannot be amicably resolved, the parties submit to the exclusive jurisdiction of the competent courts located in Ludhiana or SAS Nagar (Mohali), Punjab, India.
